Terms of Service

1. Agreement to Terms

By accessing or using Kanopi ("Service"), operated by Kanopi ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Kanopi is a reporting and analytics platform designed for landscape contractors. The Service connects to third-party systems including Aspire and QuickBooks to aggregate operational and financial data into dashboards and reports. Kanopi does not provide accounting, tax, or legal advice.

3. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

4. Data Usage and Third-Party Integrations

The Service integrates with third-party platforms including Aspire and Intuit QuickBooks. By connecting these accounts, you authorize Kanopi to access, retrieve, and store data from those platforms solely for the purpose of providing the Service.

• Aspire data: Operational data such as job details, labor records, and material costs are synced to generate job costing, crew performance, and financial reports.
• QuickBooks data: Financial reports are retrieved via the QuickBooks API. This data is stored securely and used only to display financial information within the Service. QuickBooks data is not sold or shared with third parties.

You may disconnect any third-party integration at any time through the Settings page. Upon disconnection, synced data will be retained according to our data retention policy unless you request deletion.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your account credentials with unauthorized parties

6. Intellectual Property

The Service, including its design, code, dashboards, and documentation, is owned by Kanopi and protected by intellectual property laws. You retain ownership of your data. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

7. Payment and Billing

Paid plans are billed monthly. You authorize us to charge your designated payment method for the applicable fees. Fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' written notice.

8. Limitation of Liability

To the maximum extent permitted by law, Kanopi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

10. Termination

Either party may terminate this agreement at any time. You may cancel your account through the Settings page or by contacting support. We may suspend or terminate your access if you violate these terms. Upon termination, your right to use the Service ceases immediately.

11. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
